- The acquisition of Sprouts Farmers Market, Inc. by Kroger Co.Publication . Coelho, Tiago Jorge Pinto Teixeira; Assunção, António Luís Traça Borges deThis dissertation aims to explore the eventual acquisition of Sprouts Farmers Market by Kroger Co. The food and grocery retail sector is under a profound and disruptive transformation process. The entrance of international hard discounters and behemoth online retailers, the consumer’s less propensity to cook and convenience-driven preferences, and the usage of data-intensive technologies shook the industry’s future prospects. Brick-and-mortar retailers, with their profit margins crushed and stagnant growth possibilities, crave for new sources of income. As a result, M&A activity emerges as a reliable option, with Sprouts on the frontline as the optimal target. Kroger and Sprouts’ intrinsic value equals 35,459 and 3,484 million USD, respectively. The transaction will be based on a friendly, all-cash approach, with a 30% premium over Sprouts’ share price on July 15. The deal will be financed using Kroger’s cash reserves, proceeds from the sale of assets and through the issuance of debt. It is expected that the acquisition would yield 1,141 million USD in synergy value, where 420 million USD would be captured by Kroger’s shareholders.

Rodrigues, Cláudia Peredo; Rouxinol, Milena SilvaCom a presente Dissertação procedemos à análise do regime jurídico da presunção de aceitação do despedimento em razão da aceitação da compensação pelo trabalhador. Este é um tema que impõe uma premente reflexão, principalmente quando confrontado com as limitações que acarreta para os direitos dos trabalhadores e, em especial, para o direito de impugnação judicial do despedimento. Em resultado das díspares interpretações jurisprudenciais e doutrinais, assistimos a uma profunda incerteza acerca do regime em causa. Pelo que, nessa medida, nos propomos a indagar acerca da presunção em geral (com todos os efeitos e consequências) e do seu afastamento em particular, culminando numa apreciação crítica que nos permite ficar com a certeza de que, apesar de todo o percurso percorrido pelo legislador e de todos os esforços prestados pelos seus intérpretes, o regime legal carece de ser repensado e, eventualmente, revisto.
- Effects of short-term rental markets on Lisbon´s housing market : the case of AirbnbPublication . Santos, Catarina de Costa Lourenço e Ávila dos; Reis, Catarina Luis Monteiro dosThis research, aims to assess the impact of home-sharing platforms and short-term rental markets on Lisbon’s housing market. The main question is if Airbnb listings impact house prices. Furthermore, if the impact on house prices differs with the type of Airbnb listings. The high demand for short-term rentals can lead homeowners to switch from supplying the long-term market to suppling the home-sharing market in response to increased demand, thus increasing house prices. Using data for Airbnb listings and data on the price per square meter of sales for the 24 neighborhoods that compose the city of Lisbon, I estimate a fixed effect model at the neighborhood level. The overall results of the investigation suggest that Airbnb presence affects local house prices. Specifically, I find that a 1% increase in Airbnb entire home listings increases house prices by 0,043%, controlling for time fixed effects and differential price trends across neighborhoods. This result is also consistent with the hypothesis that entire home listings may have a bigger impact on house prices than room listings.
- The effect of eyes on altruistic tendenciesPublication . Beaumont, Jan Julius; Mamadehussene, SamirThe purpose of this study is to better understand the driving factors behind the watching eye effect and establish the viability and reliability of this effect in altering human behavior to enhance cooperation. Enhancing the knowledge on successful one-shot game interaction in game theory. Two tests were performed to measure this effect. Experiment one tests different characteristics of eyes found in google doodles and whether they have an effect on search term frequencies in google. Search terms are used as a proxy for behavior and can fall within 3 spectrums prosocial, neutral, and antisocial. Experiment two is a survey that will relax the assumption from the previous test that eyes affect completely autonomous thought. In this experiment eyes along with various control variables are tested if they have influence on altruistic and punishing tendencies. The results from the tests vary, experiment one resulted in many significant predictors but do not all behave according to the predicted pattern based on previous research. Experiment two contradict these results by finding no significant predictive power from eyes in any case. A key take away point found in this study is that characteristics in eyes play a role in determining whether the stimulus is effective. Another being that in order to correctly assess the viability and reliability of the watching eye effect one needs to control for external stimulus, characteristics of the participants, and finally the characteristics of the eyes.
- Proposition for Smith & Nephew to acquire NuvasivePublication . Bertasiute, Kamile; Assunção, António Luís Traça Borges deThe main goal of this dissertation is to analyse the feasibility of the acquisition deal between two medical technology companies, in which Smith & Nephew would acquire NuVasive Inc. Smith & Nephew is an international company, which operates in the sectors of Hip & Knee implants, Wound Management and Sports Medicine. In 2018 the company announced about a new strategy to significantly expand its portfolio and grow through acquisitions in the following years. Nuvasive Inc., a fast-growing company in spine surgery sector, is a potential target, as the company operates in a sector, where Smith & Nephew is not present, which leads to disadvantageous position against the competitors. Therefore, the hypothesis of this dissertation is that Smith & Nephew acquisition of Nuvasive Inc. would complement the product portfolio of the companies and create value for both companies in terms of synergies. The main benefits for both companies would be realized through revenue enhancements, geographical and product expansion and cost savings. It was estimated that potential synergies can reach the value of $2.6 billion, resulting in higher value of the companies than the value which could be achieved by the separate entities.

A utilidade do teletrabalho revela-se a partir da análise que efetuamos; porém, sobressai para as seguintes categorias de trabalhadores: os trabalhadores vítimas de violência doméstica, os trabalhadores progenitores, os trabalhadores cuidadores, os trabalhadores mais velhos e os trabalhadores portadores de deficiência.
- Portfolio investment strategy with options using power utility function : an out of sample exercisePublication . D´Ambra, Raffaele; Faias, José Afonso de Carvalho TavaresThis dissertation investigates the possibility to find a portfolio investment strategy that could fit the peculiarities of the options. Because of the distribution of the returns of the options, the high transaction cost, and the short time-period sample available the most common investment strategies are not well suited. With an out of the sample exercise, in this dissertation has been proved that implementing an asset allocation strategy, exploiting a power utility function, could be a solution to overcome those problems related to investing with options. In this out of the sample exercise are considered European options with one-month maturity, and the portfolio strategy obtained a positive Sharpe ratio of 1.03 and positive skewness. The results are mainly explained by the exploitation of options mispricing, but also with exposure to leverage, captured by Beta, and market, as shown by the descriptive regressions, and exposure to volatility captured by Vega.
- In an industry where M&A is the new black, should Pandora A/S acquire Aritzia Inc.?Publication . Godinho, Ana Rita Gomes; Assunção, António Luís Traça Borges deThe present dissertation aims at performing a thorough analysis of the feasibility of a friendly acquisition deal between Pandora A/S and Aritzia Inc., where Pandora A/S is the acquirer firm, whereas Aritzia Inc. is the target. Pandora A/S is a global jewelry manufacturer and retailer, while Aritzia is a women’s apparel designer, manufacturer and retailer; an overview of each company’s business is presented. The analysis performed herewith also comprises an economic outlook of the jewelry and apparel industries, followed by the valuation of the companies as separate entities and as a combined entity, resorting to differing valuation approaches, such as the Discounted Cash Flow Valuation and the Relative Valuation methods. The deal would take place in a global environment with a strong M&A activity in the fashion industry, with the amount of deals and their value reaching record-high numbers. The suggested deal entails synergies valued at USD 395.19 million and will take the form of an all-share transaction, with a purchase price of USD 1,877 million, corresponding to a premium of 20.35%. By 2023, expectations are that the deal will potentially yield an accretion of 5.87%.

Ulrich, Rita Lage Marques Paixão; Melo, Rodrigo Eiró de Queiroz eO Projeto Educativo de Escola (adiante designado por PEE) como um documento estruturante e orientador para a organização educativa, elaborado pela própria escola e que enquadra o exercício da sua autonomia. Um documento estratégico orientador da ação e que permite o exercício da autonomia que é concedida às organizações educativas. O PEE, documento que estabelece a identidade da organização, através da adaptação do quadro normativo à especificidade do seu contexto, bem como a definição das linhas estratégicas de intervenção para melhorar a qualidade do processo de ensino e a consequente melhoria das aprendizagens. Centro a problemática deste estudo na forma como o PEE é elaborado, comunicado e vivido, procurando as evidências da sua essência refletidas nas práticas de gestão estratégica das lideranças, bem como nas ações pedagógicas, curriculares e de recursos humanos. Porque a autonomia para a ação está ainda muito condicionada na maioria dos estabelecimentos de ensino em Portugal, baseei este estudo em três escolas de ensino privado, onde os recursos são mais propícios ao exercício dessa mesma autonomia. Acresce que acredito que na origem de cada um destes projetos estiveram uma visão e uma ideia particular de escola. Em termos metodológicos, parti para um estudo de caso múltiplo, que se insere no tipo de metodologia de natureza qualitativa. Recorri a diferentes instrumentos de recolha de dados (entrevistas, questionários, documentação específica e observação direta), por forma a recolher dados para análise e respetiva triangulação. Encontrei evidências que procurava, mas também outras que não esperava encontrar. Conheci os contornos particulares de cada uma das três organizações e, na base da grande maioria deles, encontrei as razões que dão forma ao seu PEE. De forma explicita e implícita, encontrei um elevado grau de consciência dos valores e objetivos inscritos na missão de cada um dos três projetos, nas pessoas, nos documentos, nas ações e na maioria das dinâmicas das organizações. Em algum do tempo que me detive no estudo destas escolas, cheguei mesmo a achar que a sua autonomia para a ação era plena. Realidades tão diferentes, mas uma mesma vontade de levar adiante o desejo de fazer melhor, com o objetivo último de garantir melhores aprendizagens aos seus alunos. Estilos próprios, visões e atores bem distintos, projetos mais elaborados, caminhos mais lineares ou mais atribulados, documentos mais claros, outros mais visitados, mas no início, e em comum, uma ideia que se materializa num documento que não vale por si só, mas que impõe uma ação em conformidade, ainda que muitas vezes com barreiras legais e normativas que obrigam a uma firme vontade de seguir o caminho definido. Descobri a importância de um documento estratégico, que nasce da existência de uma identidade e de uma forma de agir própria, em linha com o PEE - o Projeto Curricular de Escola (adiante designado por PCE). O documento que descodifica e dirige a ação, orientada por uma intenção.

Ganilo, Artur Jorge Faria Rivero; Varanda, Maria Isabel PereiraEste relatório, que espelha o trabalho desenvolvido na prática de Ensino Supervisionada, visa a aproximação a uma das temáticas mais ressaltantes da atualidade social e religiosa: a misericórdia para com os de “condição de pobres” e a opção por um estilo de vida direcionado para a sobriedade. O pretendido, ao longo dos três capítulos, é, sobretudo, despertar a consciência e o sentido prático para a misericórdia, tendo como horizonte aqueles que vivem em condições de pobreza e sofrem no mundo e na vida. De igual modo, procura-se sensibilizar para a importância de nos educarmos para um estilo de vida mais sóbrio, isto é, equilibrado e pensado, que, quando o “eu” assume a condição de pobre, é capaz de se abrir aos outros, especialmente aos mais necessitados, dispensando o fútil e valorizando o essencial.
