O tema do presente trabalho prende-se com a transmissão da empresa e com a eventual obrigação de não concorrência derivada da última. Foi nosso objetivo investigar em ordem a concluir se, efetivamente, após a transmissão de uma empresa, aquele que a transmite se encontra vinculado a uma proibição de concorrer com a parte adquirente. Desde cedo, concluímos que se verificava uma ausência de regulação legal e um debate doutrinal em torno deste tema. Concluímos que, pese embora, não exista um normativo que a preveja, existem certos fundamentos que sustentam uma possível obrigação de não concorrência.
The objective of this work concerns the transmission of the company and the possible non-competition obligation. In order to conclude whether, after the transmission of a company, the transmitter is bound by a prohibition to compete with the acquiring party, it was our objective to investigate if there is a non- competition obligation. Since the beginning, we reached the conclusion that there was an absence of legal regulation and a doctrinal discussion around this topic. To sum up, although there is no normative that predicts it, there are certain elements for a possible non-competition obligation.
