No direito societário português, os administradores podem ser destituídos a qualquer altura, com ou sem justa causa, pela assembleia geral dos acionistas. A destituição sem justa causa ou ad nutum como forma de extinção da relação de administração, tendencialmente duradoura, embora lícita, faz nascer, na esfera do administrador destituído, o direito a ser indemnizado pela sociedade, seja nos termos gerais, seja nos termos acordados entre ambos. O acordo entre a sociedade e o administrador, conhecido como “golden parachute”, levanta, não raras vezes, questões sobre a licitude do quantum indemnizatório acordado, as quais não se encontram pacificadas, em parte devido à escassez de jurisprudência. Procuraremos, com o presente trabalho, mitigar o grau de dissidência.
Under Portuguese company law, directors may be dismissed at any time, with or without just cause, by the general meeting of shareholders. Dismissal without just cause or ad nutum as a form of termination of the directorship, which tends to be protracted, although lawful, entitles the dismissed director to be compensated by the company, either under the general terms of the law or in accordance with the terms agreed between the two. The agreement between the company and the director, known as the "golden parachute", often raises questions about the validity of the negotiated level of compensation, which have not been settled, partly due to the lack of case law. With the present work, we endeavour to mitigate the degree of dissidence.
