O instituto da desconsideração da personalidade jurídica é um regime bastante controverso e debatido na doutrina portuguesa. Versa na sua essência, de um mecanismo de tutela quanto aos credores sociais, face às condutas procedidas pelos sócios, que porventura utilizam a personalidade coletiva como escudo para alcançar fins ilegítimos com intenção de criar prejuízo a Terceiros. Assim posto, o presente trabalho tem como finalidade analisar este tema através das tendências recentes da jurisprudência e os modelos de decisão estabelecidos nos tribunais lusos.
The institute of “the disregard of the legal entity” is a very controversial regime and in result it is debated in the Portuguese doctrine. It is essentially a mechanism to protect the social creditors against the conduct of the partners that incorporate a commercial corporation, who may use an entity with legal personality as a shield to achieve illegitimate purposes with the intention of creating financial loss to Third Parties. Thus, the present work aims to analyze this issue through recent trends in relevant law cases and decision models that are established in Portuguese courts.
