A presente dissertação procura explorar uma das vertentes do dever de lealdade, plasmado no artigo 64º/1 do Código das Sociedades Comerciais, no âmbito da apropriação de oportunidades de negócio societárias. Para tal, será relevante o estudo de ordenamentos estrangeiros (Estados Unidos da América, Reino Unido e Espanha), com vista a retirar soluções dos mesmos cuja aplicabilidade será possível e até fará sentido em território nacional. Um ponto importante deste trabalho será o da indemnização punitiva, não utilizada em Portugal.
The present dissertation seeks to explore one of the aspects of the duty of loyalty, set forth in article 64th/1 of the Código das Sociedades Comerciais, in the scope of the appropriation of corporate business opportunities. To this end, the study of foreign legal systems (United States of America, United Kingdom and Spain) will be relevant, in order to draw solutions whose applicability will be possible and even make sense in national territory. An important point of this work will be punitive damages, which are not used in Portugal.
