Este estudo, realizado no âmbito da Dissertação de Mestrado em Direito
da Empresa e dos Negócios da Universidade Católica Portuguesa, Centro
Regional do Porto e tendo como orientador o Professor Doutor Armando Manuel
Triunfante, propõe-se abordar a temática do abuso de minoria nas Sociedades
Comerciais. Para tal, faremos uma análise ao ordenamento jurídico português e a
ordenamentos jurídicos estrangeiros, particularmente o francês, onde o conceito
tem sido mais debatido e se encontra, consequentemente concretizado.
Ora, apesar de constituir um fenómeno pouco explorado na doutrina
portuguesa e contar com uma jurisprudência quase inexistente em Portugal, o
abuso de minoria é um acontecimento presente no dia-a-dia das Sociedades
Comerciais. No entanto, este conceito acaba por ser claramente subvalorizado em
relação a outros conceitos como o de abuso de maioria.
Neste enquadramento, partindo de uma breve explicação do conceito de
abuso de maioria e da sua aplicação, a nossa análise versará, sobretudo, sobre o
abuso de minoria nas sociedades comerciais, desmontando o conceito nos seus
diversos tipos. Nesta senda, irá ser realizada uma apreciação rigorosa da norma
do artigo 58.º, n.º1, al. b), CSC, em que se sancionam as deliberações abusivas,
considerada a sua essencialidade para a discussão prevista neste ensaio.
Por fim, importará ponderar sobre as variadas opiniões doutrinais e
decisões da jurisprudência, quer estrangeira quer portuguesa, de forma a perceber
qual a melhor sanção a aplicar em cada categoria de abuso de minoria, tendo em
conta que para cada categoria poderá existir uma consequência diversa.
This Master’s dissertation in Business Law at Universidade Católica Portuguesa, Centro Regional do Porto, was carried under the guidance of Professor Doutor Armando Manuel Triunfante and aims to address the subject of minority abuse in Companies. In order to do so, we will look over the Portuguese legal system along with other fellow foreign legal systems, particularly the French, where the concept has been more debated and is, consequently, typified. Nowadays, despite being a phenomenon with very little scrutiny by the portuguese doctrine, and relying on an almost non-existent jurisprudential analysis, the abuse of minority is an incident present in the day-to-day life of a Company. However, this notion ends up being clearly undervalued comparing to other notions like the abuse of majority. In this context, starting from a brief explanation of the concept of minority abuse and its application, our analysis will mainly focus on minority abuse in companies, dismantling the concept in its various forms. Thus, a rigorous assessment of the norm in article 58th, n. 1, al. b), CSC, which condemns abusive deliberations, shall be carried out, considering its essentiality for the topic discussed in this dissertation. At last, it is important to consider each opinion in the doctrine and jurisprudence, either foreign or national, in order to perceive the best sanction to all types of minority abuse, considering that for each type there may be a different consequence.
