Abstract(s)
A presente dissertação versa sobre o dever de lealdade (duty of loyalty) dos administradores no âmbito dos grupos de sociedades. O estudo do tema revela-se oportuno devido à relação entre a sociedade, os administradores e à insuficiência da lei na definição da extensão do mesmo e na tutela do interesse societário. Neste campo podem surgir diferentes conflitos de interesses que poderão ser prevenidos, por parte do administrador, se estes compreenderem perante quem e como estão vinculados ao dever. Este dever juntamente com o dever de cuidado (duty of care) estão consagrados no 64.º n.1º, do CSC (doravante CSC). Na presente dissertação propomo-nos a analisar, o fundamento, a extensão e o conteúdo adotado pelo dever de lealdade nos grupos de sociedades em simultâneo com a responsabilidade pela sua violação, procurando perceber qual os seus efeitos para os administradores tanto da sociedade dominada como para a dominante.
The proposed dissertation deals with the duty of loyalty of directors in groups of companies. The study of this subject reveals to be opportune due to the relation between the company and the directors and to the insufficiency of the law in the protection of the corporate interest. In this field, different conflicts of interests may arise which may be prevented, on the part of the administrator, if they understand before whom and how they are bound by the duty. This duty together with the duty of care are enshrined in Article 64 no. 1 of the CSC (henceforth CSC). In this dissertation we propose to analyze the basis, extension and content adopted by the duty of loyalty in groups of companies together with the responsibility for its violation, trying to understand its effects for the directors of both the dominated and dominant company.
