No contexto político-económico atual é relevante as empresas procurarem alternativas de
financiamento, tendo em conta a situação de crise que surgiu como consequência do isolamento e
se agravou ainda mais com a atual situação de instabilidade na Europa.
A emissão de obrigações convertíveis apresenta-se como uma opção não só atrativa aos
investidores, mas também com vantagens a nível fiscal.
Este trabalho começa com um enquadramento das obrigações do ponto de vista jurídicoeconómico a que se segue uma análise das obrigações convertíveis, incluindo das opções
incorporadas nestas, com breves exemplos reais de aplicações da figura em Portugal.
In the current political-economic context it is relevant for companies to seek alternative financing methods, especially when considering the crisis that has arisen as a consequence of the isolation, and which has worsened even more with the current instability in Europe. Thus, the issue of convertible bonds presents itself as an option not only attractive to investors, but also with advantages at tax level. This work starts from a legal and economic framework of bonds, followed by an analysis of convertible bonds and the options embedded in them, with brief real examples of applications of the figure in Portugal.
