Em virtude da proibição legal estabelecida para a indústria, em Portugal, continua afastada a possibilidade da entrada de um sócio consistir em trabalhos ou serviços nas sociedades por quotas e anónimas. A função de garantia do capital social, enquanto principal fundamento desta proibição encontra-se claramente em crise, pelo que se impõe uma ponderação acerca da sua razão de ser. Várias experiências europeias admitem a admissibilidade destas entradas nos respetivos ordenamentos jurídicos, sobretudo em países com um regime societário semelhante ao nosso. Deste modo, pretende-se com esta investigação o fim da proibição legal existente, em face da inexistência, nos dias que correm, de razões justificativas para a sua permanência.
Due to the legal prohibition established for services, in Portugal, the possibility of a partner's contribution consisting in the form of work or supply services in limited liability companies and public companies limited by shares continues to be ruled out. The function of the guarantee of the share capital, as the main basis of this prohibition is clearly in crisis, so it is necessary to consider the reason fot its existence. Several European experiences admit the admissibility of these contributions in the respective legal systems, especially in countries with a corporate regime similar to ours. Therefore, this research intends to put an end to the existing legal prohibition, in view of the inexistence, nowadays, of justifiable reasons for its persistence.
