Abstract(s)
O presente trabalho trata a fusão de sociedades comerciais e a tutela dos credores nesse contexto. Inicialmente, descreve-se as diferentes modalidades de fusão, a sua natureza jurídica, efeitos e o procedimento interno a seguir. O Capítulo II empreende uma análise comparativa da tutela dos credores em diferentes ordenamentos jurídicos para que se possa perceber as origens, enquadramento e os reflexos do direito europeu neste âmbito. Seguidamente, reflete-se acerca das novidades trazidas nestas matérias pelo DL 114-D/2023, que transpôs a Diretiva (EU) 2019/2121. Por fim, o Capítulo III constitui o cerne da dissertação e versa sobre os mecanismos de tutela dos credores, refere os seus fundamentos, a natureza jurídica do direito de oposição judicial e a sua evolução legislativa em Portugal. Estuda-se, por fim, o direito de oposição judicial e respetivos requisitos indispensáveis, bem como os efeitos reflexos do seu exercício no processo de fusão. A presente dissertação procura sintetizar os principais pontos discutidos, enfatizando a importância da proteção dos credores no contexto das fusões societárias.
The present work addresses the merger of commercial companies and the protection of creditors in this context. Initially, it describes the different modalities of merger, their legal nature, effects and the internal procedure that must be followed. Chapter II undertakes a comparative analysis of creditor protection in different legal systems to understand the origins, framework, and the impact of European law in this area. Subsequently, we will summarize the recent developments brought to these matters by DL 114-D/2023, which transposed Directive (EU) 2019/2121. Chapter III is the core of the dissertation and deals with creditor protection mechanisms. It refers to their foundations, the legal nature of the right to judicial opposition and its legislative evolution in Portugal. Lastly, it examines the right to judicial opposition and its essential requirements, as well as the reflex effects of its exercise in the merger process. This dissertation seeks to summarize the main points discussed, emphasizing the importance of creditor protection in the context of corporate mergers.
