O princípio do equilíbrio negocial assume-se como um princípio geral de Direito civil operante no Direito português. Propondo uma aplicação fundada no princípio da justiça, concretamente, na aceção de justiça comutativa, o princípio do equilíbrio negocial visa sindicar os desequilíbrios contratuais que, pela sua falta de fundamentação e manifesto grau, não sejam, no seu conteúdo, dignos de tutela jurídica. O princípio assumirá relevância em todo o iter negocial, sindicando a atuação das partes e o conteúdo material do contrato desde a formação do contrato até à sua fase de execução. Sustenta-se a ausência de absolutismo de vetores nucleares de Direito civil, como o pacta sunt servanda e o princípio da autonomia privada, e a compatibilização destes com o princípio do equilíbrio negocial, por forma a assegurar que as relações contratuais são regidas por um teor mínimo de justiça prestacional.
The principle of contractual balance is regarded as a general principle of civil law operative within Portuguese law. Proposing an application grounded in the principle of justice, specifically in the sense of commutative justice, the principle of contractual balance aims to scrutinize contractual imbalances which, due to their lack of justification and manifest degree, are not, in their content, worthy of legal protection. The principle will be relevant throughout the entire iter negotii, scrutinizing the conduct of the parties and the material content of the contract from its formation stage through to its performance phase. It is argued that there is no absolutism in core vectors of civil law, such as pacta sunt servanda and the principle of private autonomy, and that these must be reconciled with the principle of contractual balance, so as to ensure that contractual relationships are governed by a minimum standard of justice.
