Esta dissertação aborda a difícil tarefa de compatibilização dos regimes jurídicos da impugnação pauliana e da resolução em benefício da massa no decurso do processo de insolvência. Em particular, analisar-se-á os arts. 127º e 616º do CIRE e CCiv respetivamente, pois assumem um papel central na determinação do alcance de uma ação de impugnação pauliana procedente durante o processo de insolvência. Pretende-se com isto delimitar a fronteira entre ambas, produzindo-se diferentes consequências consoante o entendimento doutrinal adotado. Ademais, invoca-se os traços principais do regime espanhol em sede de insolvência, revelando uma visão e solução diferente. Deslinda-se juridicamente as dúvidas provocadas pelo legislador, compilando as diferentes visões dos autores portugueses e oferece-se também uma humilde perspetiva sobre a matéria.
This thesis addresses the challenging task of reconciling the legal regimes of the actio pauliana (fraudulent conveyance actions) and the resolution for the benefict of the mass during the bankruptcy proceedings. In detail, we will analyse articles 127 and 616 of the Insolvency and Corporate Restructuring Code (CIRE) and the Civil Code (CCiv), respectively, because they play a central role in determining the scope of a successful actio pauliana within bankruptcy proceedings. The aim is to delimit the boundary between the two, having different consequences depending on the doctrinal understanding adopted. Furthermore, the main features of the Spanish insolvency regime are invoked, revealing a different vision and solution. To sum up, the goal is to clarify legally the doubts raised by the legislator, compiling the different views of Portuguese authors and also offering a humble perspective on the matter.
