Este trabalho tem como finalidade analisar, de forma crítica e aplicada, um caso real de fusões e aquisições (M&A) no mercado português, no qual uma empresa de média dimensão passou por dois processos de venda com desfechos contrastantes. O estudo explora os fatores que explicam essa diferença de resultados, nomeadamente a perceção de risco por parte dos investidores, a maturidade organizacional da empresa e a preparação dos acionistas para o processo de venda. A investigação combina uma análise financeira detalhada, com uma abordagem qualitativa baseada em documentação interna, bibliografia especializada e experiência profissional em assessoria de M&A. Conclui-se que, para além da robustez financeira, é determinante a capacidade da empresa em mitigar riscos operacionais, demonstrar capacidade de continuidade e apresentar uma expetativa de valor alinhada com as exigências do mercado. A principal contribuição do trabalho reside na análise comparativa de dois momentos distintos de venda, permitindo identificar, de forma empírica, os elementos que aumentam a probabilidade de sucesso em transações de M&A no mid-market. O estudo visa, assim, enriquecer a literatura sobre M&A em contextos menos explorados, como o português, e reforçar a importância da preparação estratégica e da profissionalização da gestão nas PME que pretendem atrair investidores.
This master's thesis aims to critically and practically analyse a real mergers and acquisitions (M&A) case in the portuguese market, in which a medium-sized company underwent two sale processes with contrasting outcomes. The study explores the factors that explain this divergence in results, namely the investors’ perception of risk, the organisational maturity of the company, and the shareholders’ preparedness for the sale process. The research combines a detailed financial analysis with a qualitative approach based on internal documentation, specialised literature, and professional experience in M&A advisory. It concludes that, beyond financial robustness, the company’s ability to mitigate operational risks, demonstrate business continuity, and present a value proposition aligned with market expectations is decisive. The main contribution of this study lies in the comparative analysis of two distinct sale processes, enabling the empirical identification of the elements that increase the likelihood of success in mid-market M&A transactions. The study thus seeks to enrich the literature on M&A in underexplored contexts such as Portugal and to emphasise the importance of strategic preparedness and management professionalisation in SMEs seeking to attract investors.
