Abstract(s)
A presente dissertação incidirá sobre a temática do Corporate Governance e
as suas condicionantes no que diz respeito ao Conselho de Administração, assim como
ao mercado para o controlo das sociedades. Tendo em consideração que as práticas de
Corporate Governance não são um fim em si mesmo, mas sim um meio para garantir a
confiança do mercado, que por sua vez é essencial para o crescimento sustentável e o
sucesso das empresas, a análise a ser realizada terá como objetivo investigar se alguma
destas condicionantes, nomeadamente a remuneração dos administradores, pode
influenciar as boas práticas de governo societário, assim como o desempenho das
sociedades em causa.
The present study will focus on the Corporate Governance thematic and its determinants regarding the Board of Directors, as well as the market for corporate control. Taking into consideration that Corporate Governance practices are not an end in itself, but rather a means to ensure market confidence, which in turn is essential for sustainable growth and the success of companies, the analysis to be carried out will have as objective to investigate whether any of these constraints, namely the remuneration of the managers, can influence the good practices of corporate governance, as well as the performance of the companies.
