As empresas que procuram melhorar o seu desempenho necessitam de definir estratégias que lhes permitam alcançar os seus objetivos a longo prazo. Para concretizarem essas estratégias podem passar por processos de fusão ou aquisição (F&A). No entanto, apesar das oportunidades que proporcionam, estas transações envolvem desafios significativos que podem comprometer o seu sucesso. Este trabalho tem como objetivo analisar quais os principais desafios e fatores críticos que as empresas enfrentam durante as diversas fases de uma operação de F&A, e de que forma estes podem ser superados. Para tal, foi realizada uma revisão de literatura que permitiu obter uma visão geral sobre os conceitos de F&A, o seu enquadramento histórico, as suas motivações e desafios críticos, bem como explorar modelos e autores que descrevem as diferentes etapas do processo. Para responder à questão de investigação, foi analisado um caso de estudo concreto, conduzido pela Clearwater, que permitiu verificar como os desafios e fatores críticos identificados na literatura se manifestam na prática, bem como compreender as estratégias adotadas para superá-los em cada fase do processo de F&A. Os resultados obtidos indicam que os maiores desafios e fatores críticos enfrentados pelas empresas são o alinhamento de interesses entre os acionistas, a preparação da empresa para o processo de VDD e a integração pós fusão, mas podem ser superados com uma combinação de preparação antecipada, alinhamento estratégico, mediação de interesses e rigor técnico.
Companies seeking to improve their performance need to define strategies that allow them to achieve their long-term goals. To implement these strategies, they may undergo mergers or acquisitions (M&A). However, despite the opportunities they provide, these transactions involve significant challenges that can compromise their success. This study aims to analyze the main challenges and critical factors that companies face during the different phases of an M&A operation, and how these can be overcome. To achieve this, a literature review was conducted to provide an overview of M&A concepts, their historical context, motivations, and critical challenges, as well as to explore models and authors describing the different stages of the process. To answer the research question, a specific case study conducted by Clearwater was analyzed, allowing for an examination of how the challenges and critical factors identified in the literature manifest in practice, as well as an understanding of the strategies adopted to overcome them at each stage of the M&A process. The results indicate that the greatest challenges and critical factors faced by companies are the alignment of interests among shareholders, the preparation of the company for the VDD process, and post-merger integration. However, these can be overcome through a combination of early preparation, strategic alignment, interest mediation, and technical rigor.
