Abstract(s)
Com a presente dissertação propomo-nos a analisar o regime jurídico da venda a retro, tentando perceber a sua evolução histórica e a suas mutações. O nosso principal objetivo é perceber se a inclusão de uma cláusula a retro num contrato de compra e venda poderá ser vantajosa para o comprador. Numa altura em que a procura e o acesso ao crédito são instrumentos preciosos para quem deles necessita, é importante entender também qual é a posição de quem os concede, perspetivando aquela que poderá ser a sua garantia de cumprimento. Abordamos o tema da proibição do pacto comissório, assim como nos referimos ao pacto marciano com objetivo de saber se a admissibilidade da venda a retro passa pelo respeito da primeira e consequentemente pelo recurso à segunda. Por fim, tentamos aferir qual a sua natureza jurídica e a atual utilidade prática, estabelecendo um termo de comparação com a figura da alienação fiduciária em garantia.
With the present dissertation we propose to analyze the retro sale’s legal regime, trying to understand its historic evolution and its mutations along the way. Our main objective will be to understand if the inclusion of a retro clause in a purchase and sell contract can be advantageous to the buyer. In a time when the demand and access to credit are precious tools to those in need, it is also important to understand the position of those who concede it, prospecting which can be their compliance warranty. We approach the theme of the commission pact’s prohibition. The goal is to know if the retro sale’s admissibility goes through its respect. We also refer to martian pact, with the objective of understanding if the retro sale’s admissibility goes through its using. 8 Finally, we try to measure its legal nature and practical use nowadays, establishing a comparison with the figure of the fiduciary alienation.
