Num mundo cada vez mais globalizado, com uma evolução tecnológica que
quase quebra a velocidade da luz, percebemos que acresce uma necessidade de
cuidados redobrados com a informação. A máxima “Informação é poder” nunca fez
tanto sentido como no mundo atual, mas também nunca foi tão obstaculizada. A
União Europeia não se preocupou apenas com a informação das pessoas singulares,
mas também com a informação que está ligada à diferenciação entre empresas, como
a concorrência “limpa” e “leal” (condenando a deslealdade da concorrência). Esta
diferenciação pode ser feita através de informações secretas (Segredos de Negócio),
com valor industrial ou/e comercial e que obriguem a que o seu detentor leve a cabo
as diligências necessárias para que se mantenham, como é o objetivo, secretas.
Percebemos, também, a importância de que tais informações continuem secretas,
mesmo perante a necessidade de litigar, em juízo, sobre segredos de negócio, uma vez
que a perda deste secretismo levaria a que se perdesse a sua proteção (uma vez
revelado o segredo, como é óbvio, deixará de ser, em si mesmo, um segredo) e
obstaculizaria o exercício dos direitos legítimos por parte das empresas.
Tendo Portugal como regra a publicidade dos litígios, será incoerente falar sobre
Resolução Alternativa de Litígios? Parece a solução mais acertada, e que a Diretiva
(EU)2016/943 parece encapotar.
In an increasingly globalized world, with a technological evolution that almost breaks the speed of light, we realize that there is a need for more concerned about information. That maxim "Information is power" never made as much sense as in today's world, but it has never been so hampered. The European Union has not only been concerned with data protection and information from people, but also with information that is linked to differentiation between companies, such as "clean" and "fair" competition (condemning unfair competition). This differentiation can be done through secret information (Trade Secrets), with industrial or commercial value and that oblige the holder to carry out the necessary steps to keep them, as is the objective, secret. In order to remain secret in case there is a need to litigate about trade secrets, we also realized that they remain secret, because the loss of this secrecy leads to losses in their protection (since the secret is revealed, of course, cease to be a secret in itself). Since Portugal has an obligation to publicize judicial disputes, will it be inconsistent to speak about Alternative Dispute Resolution? It seems the right solution, and that the Directive (EU) 2016/943 seems to capsize.
