Abstract(s)
O presente estudo visa dedicar-se à análise de determinados problemas e litígios com os
quais nos podemos deparar aquando de um contrato de compra e venda de participações
sociais tendente à transmissão de uma empresa, mormente problemas na realização de
uma due diligence e problemas inerentes ao regime dos arts.º 905.º e 913.º do Código
Civil (correspondentemente, aos regimes de compra e venda de bens onerados e
defeituosos).
The present study consists of the analysis of certain problems and disputes that we can come across during a contract for the sale and purchase of shareholdings as a form of transmission of an entreprise, especially information problems in carrying out a Due Diligence and problems inherent to the regime of articles 905.º and 913.º of the Civil Code (i.e., under the terms of the regimes for the purchase and sale of burdened and defective goods).
