A presente dissertação tem como objetivo primeiro a análise de vários conceitos e figuras em ordem a uma melhor compreensão e análise do artigo 490.º do Código das Sociedades Comerciais. Para tal, é imprescindível uma passagem pelas relações de grupo, pelas sociedades coligadas, pela figura da aquisição tendente ao domínio total, pelo direito potestativo de aquisição, pela contraposição entre direito de exoneração e entre o direito potestativo de alienação, para podermos tomar uma posição sobre este controverso preceito legal.
The present dissertation has as the first purpose the analysis of several concepts and figures in order to a better understand of the 490th article in Commercial Companies Code. To do that it is necessary to go through the concepts of group relations, the affiliated companies, the figure of acquisition tending to absolute control, the statutory right of acquisition and the contrast between the right of exoneration and the right of alienation so that we can take on this controversial legal precept.
