Abstract(s)
A presente dissertação centra-se no âmbito das ofertas públicas de
aquisição, começando por analisar o processo de uma oferta pública de aquisição
voluntária, referindo os seus princípios e relacionando o Direito Europeu e Nacional. De
seguida procede-se a análise das ofertas públicas de aquisição obrigatórias, delimitando
os pressupostos do seu dever e a imputação dos direitos de voto utilizada pelo legislador
nacional para o concretizar. Posteriormente, procede-se à análise do regime da alteração
das circunstâncias no âmbito de uma oferta pública de aquisição. Conclui-se com a
verificação e análise dos pressupostos do regime na situação da pandemia Covid-19.
This dissertation focuses on the scope of takeover bids, starting by analysing the process of a voluntary takeover bid, referring its principles and relating European and National Law. Subsequently, the analysis of mandatory takeover bids is carried out, delimiting the assumptions of its duty and the attribution of voting rights used by the national legislator to accomplish it. Afterwards, the analysis of the regime of hardship within the scope of a takeover bid is carried out. It Concludes with the verification and analysis of the assumptions of the regime in the situation of the Covid19 pandemic.
