A responsabilidade civil de gerentes e administradores continua a ser um tema de extrema relevância no âmbito do direito societário português, tema que motivou a realização da presente dissertação e na qual é dado especial enfoque à responsabilização destes sujeitos perante a sociedade, nomeadamente no que diz respeito à ação social de que esta última é titular para se ver ressarcida de prejuízos causados por condutas desenvolvidas em desrespeito pelos deveres que se impõem a gerentes e administradores. O presente trabalho encontra-se redigido numa perspetiva encadeada que principia com a origem da ação social da sociedade, seguindo-se uma contextualização do instituto da responsabilidade civil onde analisamos os respetivos pressupostos de aplicação e causas de exclusão, sendo relativamente a esta última brevemente explicitado o instituto da Business Judgment Rule dada a sua relevância no ordenamento jurídico português. Feito esse enquadramento, passaremos a analisar a ação social ut universi, quanto aos seus pressupostos, vicissitudes, institutos subsidiários e verdadeira aplicação práticas. Para a investigação do tema realizamos a revisão bibliográfica de diversas obras literárias, revistas científicas, artigos de opinião e acórdãos de jurisprudência, tendo sido um processo que nem sempre se revelou fácil devido à dispersão do tema e escassez de desenvolvimento do mesmo.
The civil liability of managers and directors remains a topic of utmost relevance within Portuguese corporate law. This subject motivated the present dissertation, which places particular emphasis on the liability of these individuals towards the company, particularly concerning the corporate action to which the latter is entitled in order to seek compensation for damages resulting from conduct in breach of the duties of managers and directors. This dissertation follows a structured approach, beginning with the origins of the corporate action, followed by a contextualization of the civil liability framework, in which we analyze the conditions for its application and the grounds for exclusion. In the latter, the Business Judgment Rule is briefly explained due to its relevance in the Portuguese legal system. After establishing this framework, we proceed to analyze the corporate action ut universi, focusing on its requirements, procedural developments, and actual practical application. For this research, we conducted a bibliographic review of various literary works, scientific journals, opinion articles, and case law decisions. This process was not always straightforward due to the fragmented nature of the topic and the limited academic development it has received.
