| dc.description.abstract | A presente dissertação faz uma análise ao disposto no artigo 84.º do Código das Sociedades Comerciais e qual a função atual na unipessoalidade societária. Os objetivos deste trabalho são: 1) abordar o surgimento das sociedades unipessoais por quotas no ordenamento jurídico português; 2) analisar o regime previsto no artigo 84.º do CSC, nomeadamente: referir a razão de ser do preceito; identificar e analisar os requisitos exigidos para desencadear a responsabilidade ilimitada do sócio único; determinar o âmbito de aplicação da norma e qual a sua natureza jurídica. Visa-se, ainda, com o presente estudo: 3) abordar o regime jurídico das sociedades unipessoais por quotas, designadamente, abordar as consequências jurídicas decorrentes da violação dos requisitos previstos no artigo 270.º-F do CSC e estabelecer o seu alcance jurídico. Por fim, problematiza-se a relação entre o artigo 270.º-F, n.º 4 do citado código e a chamada “desconsideração da personalidade jurídica”. A metodologia utilizada para a realização deste trabalho assenta em “investigação bibliográfica”, nomeadamente, livros, artigos em revista e dissertações sobre a mesma temática. Espera-se que a presente dissertação possa servir para um melhor entendimento das questões que se colocam, relativamente à unipessoalidade societária e à responsabilidade do sócio único, quer nos termos do disposto no artigo 84.º quer segundo o artigo 270.º-F, n.º 4, ambos do CSC. | pt_PT |
| dc.description.abstract | This dissertation makes an analysis of the provisions of the Article 84 of the Code of Commercial Companies and what is the current role in the single-shareholder company. The objectives of this work are: 1) addressing the emergence of single- shareholder limited liability companies in the Portuguese legal system; 2) analyse the arrangements provided for in Article 84 of the Code of Commercial Companies, namely: the purpose of the precept; identify and analyse the required requisites to unleash the unlimited liability of the single-shareholder; determine the scope of application of the norm and what is its legal nature. The aims of this study are also: 3) address the legal regime of the single-shareholder limited liability companies, namely, to approach the legal consequences resulting from the violation of the requirements referred to in Article 270-F of the Code of Commercial Companies and to establish its legal scope. Lastly, it is problematised the relationship between the Article 270-F(4) of the aforementioned code and the called “disregard of the legal entity”. The methodology used to carry out this work is based on “bibliographical research”, that is to say, books, journal articles, as well as dissertations on the same theme. It is therefore hoped that the present dissertation may provide a better understanding of the issues that arise, with regard to single-shareholder company and to the liability of the single-shareholder, either under the Article 84 or under Article 270- F(4), both of the Code of Commercial Companies. | en_EN |
