A presente dissertação propõe analisar o papel e a influência dos consultores em matéria de voto, também reconhecidos como proxy advisors, no contexto atual do governo societário. Ao longo deste trabalho, explora-se toda a dinâmica societária, aquando da inclusão de um novo interveniente no processo tradicional de voto, estabelecido pelo Código dos Valores Mobiliários. Paralelamente, serão abordados as vantagens e os riscos associados à influência dos consultores em matéria de voto, numa análise que visa iluminar tanto as possibilidades positivas, como os desafios regulatórios inerentes à sua atuação, nomeadamente no que respeita à definição e delimitação da sua responsabilidade civil.
The present dissertation aims to analyze the role and influence of proxy advisors, in the current context of corporate governance. Throughout this work, the entire corporate dynamic is explored when including a new player in the traditional voting process, established by the Securities Code. At the same time, the advantages and risks associated with the influence of proxy advisors will be addressed, in an analysis that seeks to shed light on both the positive possibilities and the regulatory challenges associated to their actions, particularly regarding the definition and delimitation of their liability.
