Abstract(s)
Encontra-se a correr na União Europeia um processo legislativo que visa estabelecer um dever de diligência das empresas em matéria de sustentabilidade, fazendo-lhe corresponder um regime de responsabilidade civil harmonizado no espaço comunitário. Estando em causa um processo legislativo, foram claramente encontradas algumas dificuldades ao longo do presente trabalho, nomeadamente com a revisão do texto pelo Conselho da União Europeia, que veio alterar alguns dos pontos que já se pressuponham como adquiridos. A presente dissertação analisará o processo legislativo no que concerne às políticas de Environmental, Social and Governance, explorando a proposta de Diretiva, e os eventuais efeitos que uma Diretiva Europeia acarretará para as diversas matérias do direito societário. Num breve capítulo refletir-se-á ainda sobre a forma como deverá ser abordada a transposição da (eventual) Diretiva. Será de concluir que o processo legislativo é essencial à efetiva alteração da racionalidade empresarial, uma vez que, só desta forma, se poderá transitar para uma economia sustentável e neutra, minimizando as repercussões da atividade das empresas no mercado global.
Currently, in the European Union, a legislative process is running. The main goal is to establish a corporate sustainability due diligence, that sets out a harmonized regime of corporate liability in the community space. Having to deal with an ongoing legislative process, during the current essay, some clear struggles emerged, such as the revision of the text by the Council of the European Union, which changed some of the points that were previously accepted. The current essay will therefore be of great use to analyse the legislative process concerning the ESG politics by analysing the Directive proposal and the eventual effects that a European directive may have for different matters of corporate law. To conclude one must state that the legislative process is essential to the effective change of the corporate rationality, since that is the only way we can transit for a sustainable and neutral economy, minimizing the corporate´s activities´ repercussions in the global market.
