No artigo 242.º do Código das Sociedades Comerciais português, o legislador previu uma modalidade de exclusão de sócios nas sociedades por quotas na qual, para a sua efetivação, a sociedade necessita não só de uma deliberação da assembleia geral como de uma sentença judicial. Ao contrário das outras modalidades de exclusão de sócio, o legislador, aqui, não definiu prazo tanto para o exercício da deliberação como para a propositura da ação de exclusão. Devido a isto, foram surgindo algumas controvérsias sobre a existência e definição do prazo para o exercício do direito de exclusão judicial, sobre o momento de início de contagem do prazo para o exercício do direito de exclusão judicial e sobre as consequências para o exercício intempestivo do mesmo direito. Ao longo desta dissertação, tentaremos encontrar soluções para estas questões, cuja resposta é de enorme importância devido ao facto de o exercício tempestivo ser condição necessária para a efetivação da exclusão judicial de um sócio.
In Article 242 of the Portuguese Companies Code, the legislator establishes a specific form of shareholder expulsion in limited liability companies, whereby its effectiveness depends not only on a resolution of the shareholder’s meeting but also on a judicial decision. Unlike other forms of shareholder expulsion, no time limit is set for either the adoption of the resolution or the bringing of exclusion proceedings. This omission has given rise to debate regarding the existence and determination of a time limit for exercising the right to judicial expulsion, the point at which such time limit begins to run, and the consequences of its untimely exercise. “Throughout this dissertation, we shall endeavour to identify solutions to these issues, the resolution of which is of considerable importance, given that the timely exercise of the right constitutes a necessary condition for the effective judicial exclusion of a member.”
