A presente dissertação assenta numa análise crítica ao Regime Extrajudicial de Recuperação de Empresas enquanto mecanismo de recuperação pré-insolvencial, esdobrando-se em dois regimes: o regime do protocolo de negociação e o regime do acordo de reestruturação. Ao longo deste trabalho, procuraremos tecer referências relativas à sistematização do regime, como também estabelecer algumas comparações entre este e o seu antepassado – Sistema de Recuperação de Empresas por Via Extrajudicial e “concorrente” – Processo Especial de Revitalização. A nossa pesquisa centrar-se-á, igualmente, na análise à Diretiva Europeia 2019/0321 de 28 de março, referente à reestruturação preventiva, de forma a compreender alguns dos objetivos impostos pela União Europeia. Por último, iremos estabelecer uma comparação entre as políticas europeias, em torno da reestruturação de empresas, com o preceituado no RERE, culminando numa análise crítica a algumas matérias que o legislador português previu no âmbito deste regime.
This dissertation is based on a critical analysis of the Portuguese “Out-of-Court Business Recovery Regime” (Regime Extrajudicial de Recuperação de Empresas) as a pre-insolvency recovery mechanism/instrument. It is divided in two regimes: the negotiation protocol regime and the restructuring agreement regime. Throughout this investigation-work, we will make references regarding the systematization of the recovery mechanism, refer some comparisons between the current Out-Of-Court Business Recovery Regime and its ancestor – SIREVE and his competitor – PER. Our research will also focus on the analysis of the European Directive 2019/0321 of 28th of march on preventive restructuring to understand some of the objectives imposed by the European Union. Finally, we will compare the European policies about company restructuring with the policies in RERE, culminating in a critical analysis of some matters that the Portuguese legislator envisaged under this regime.
