Abstract(s)
Na atual conjuntura económico-social, o Direito da Insolvência assume cada vez mais
um papel preponderante, especialmente na sua vertente de reestruturação, e daí o interesse
suscitado na escolha deste tema.
O surto da Covid-19 provocou uma crise “total”, com consequências gravosas para o
universo das empresas e para a economia. Nos dias de hoje, uma empresa pode facilmente
ser confrontada com a falta de liquidez, sem que por isso, deixe de ser viável e útil ao
tecido económico.
Um dos principais objetivos da presente Diretiva, é precisamente o de salvar negócios
viáveis de empresários honestos, designadamente através do mecanismo do crossclass/cram-down. Assim, o interesse e a oportunidade na sua transposição revelam-se
inquestionáveis.
Deste modo, na presente dissertação pretendeu-se realizar uma análise aprofundada
das consequências que a adoção da Diretiva, em matéria de reestruturação preventiva,
poderá provocar no regime jurídico português do PER.
In the current economic and social situation, Insolvency Law is playing an increasingly important role, especially in its restructuring aspect, hence the interest aroused in choosing this topic. The outbreak of Covid-19 has caused a "total" crisis, with serious consequences for the universe of companies and the economy. Nowadays, a company can easily be faced with a lack of liquidity, without ceasing to be viable and useful to the economic tissue. One of the goals of this Directive is precisely to save viable businesses of honest entrepreneurs, namely through the cross-class/cram-down mechanism. Thus, the interest and opportunity in its transposition should be unquestionable. Thus, in this dissertation we intended to conduct an in-depth analysis of the consequences that the adoption of the Directive on preventive restructuring may have on the Portuguese legal regime of PER.
