As Sociedades Gestoras de Participações Sociais, reconhecidas pela sigla SGPS, constituem uma das formas jurídico-organizativas para a sociedade cúpula de um grupo societário, permitindo aos empresários reunir numa sociedade as suas participações sociais, obtendo a sua gestão centralizada e especializada. Nessa medida, esta é uma forma de organização societária que tem assumido uma especial relevância no mundo empresarial atual. Assim, a presente dissertação propõe uma análise à génese das SGPS, debruçando-se, num momento posterior, sobre o regime legal de consagração desta figura especial no ordenamento jurídico português e sobre os pontos de contacto que estabelecidos com outros ramos de Direito, tomando sempre em consideração a doutrina pertinente e conferindo uma análise breve prática sobre o impacto das SGPS no mundo empresarial português.
Holding companies are one of the legal-organizational forms for the top management of a group of companies, allowing entrepreneurs to bring together their holdings in a company, obtaining centralized and specialized management. As such, this is a form of corporate organization that has taken on considerable influence in today's business world. Therefore, this dissertation proposes an analysis of the genesis of holding companies, and then looks at the legal regime that established this specific figure in the Portuguese legal system and the points of contact it establishes with other legal areas, always taking into account the relevant doctrine and providing a brief practical analysis of the impact of holding companies on the Portuguese corporate environment.
