A corporate governance desempenha um papel fundamental na estrutura e funcionamento das sociedades comerciais, assegurando boas práticas de gestão e transparência. Neste contexto, a responsabilidade civil dos administradores consolida-se como um instrumento jurídico indispensável para assegurar o cumprimento dos deveres fiduciários e, consequentemente, tutelar os interesses legítimos da sociedade e dos demais stakeholders. A presente dissertação analisa os pressupostos e limites da responsabilidade civil dos administradores, em articulação com a Business Judgment Rule e o artigo 72º/2 do Código das Sociedades Comerciais. Através de uma análise doutrinária e jurisprudencial, procura-se compreender o impacto desta regra no contexto societário.

In this context, directors’ civil liability is consolidated as an essential legal instrument to ensure compliance with the fiduciary duties, and, consequently, to protect the company and stakeholders’ interests. This dissertation examines the foundations and limits of directors’ civil liability, in connection with the Business Judgment Rule and the article 72º/2 of the Portuguese commercial companies’ code (Código das Sociedades Comerciais). Through a doctrinal and case law analysis, we seek to understand the impact of this rule within the corporate context.
