Abstract(s)
O objetivo da presente dissertação consiste em analisar o aumento do capital social através da incorporação de suprimentos, agora permitido pelo Dl. n.º79/2017, de 30 de Junho.
Em primeiro lugar, abordaremos a figura do contrato de suprimentos. A sua noção, o seu regime legal, as suas características, distinguindo-os de outras figuras que lhes sejam próximas.
Seguidamente, e pela sua essencialidade, falaremos no capital social, passando pela sua noção, pelos seus princípios e funções.
Estando em causa o aumento do capital social, torna-se importante fazer uma referência à obrigação de entrada por parte dos sócios, o seu valor mínimo e a necessidade de financiamento que esse mesmo valor poderá desencadear.
Por último, faremos uma análise ao referido DL.79/2017. Identificaremos as alterações por ele introduzidas e as dúvidas que com elas surgiram, as quais pretendemos responder.
The present dissertation consists of analyzing the social capital increase through the incorporation of shareholder loan, now allowed by the Dl. n.º79/2017 of 30 June. First of all, we will look at shareholder loan agreement. What it is, the legal regime and their characteristics, distinguishing them from other forms that may be close. Next, and by its importance, we will speak in social capital, passing through its notion, principles and functions. With regard to the increase of the social capital, it is also important to make a reference to the obligation of entry by the members, their minimum value and the need for financing that the same amount can generate. Finally, we will make an analysis to Dl. n.º79/2017, identifying the changes introduced by it and the doubts that arose, which we intend to answer.
