Abstract(s)
O tema do presente trabalho relaciona-se com os meios de proteção de que dispõem os investidores em sociedades abertas. Neste sentido, mais do que uma mera enumeração das vias legalmente disponíveis, visa-se a perceção da importância da veiculação da informação entre o ente societário e o mercado.
Tendo em conta a finalidade referida, analisam-se os perigos associados ao investimento numa sociedade aberta e dá-se especial destaque ao artigo 20º do CVM, dado o seu objetivo de dotar de transparência o mercado de capitais.
Conclui-se que, apesar da notória preocupação com uma regulação eficaz da imputação de direitos de voto, o mecanismo vigente comporta, não obstante, situações indesejadas.
This dissertation’s theme is related to the means of protection available to the investors in open societies. In order to that, more than a simple enunciation of the legally available means, the goal is the perception about the importance of an exchange of information between the company and the market. To achieve that, we will analyse the dangers involved in the investment in an open company, focusing especially in the article 20º of CVM, due to its goal of transparency in capital markets. We conclude that, although the legislator concern about an effective regulation of voting right imputation, the actual mechanism brings unwanted situations.
