Este trabalho tem como objetivo averiguar a licitude das cláusulas golden
parachute no ordenamento jurídico português. Para responder à questão, como ponto de
partida, defini estas cláusulas à luz do sistema jurídico anglo-saxónico, por ser aquele em
que a matéria primeiramente surgiu, percorrendo de seguida o regime português das
sociedades comerciais (em especial, o das sociedades anónimas), concluindo com o
reconhecimento da admissibilidade de cláusulas deste tipo no nosso ordenamento
jurídico, ao abrigo dos princípios da autonomia privada e da liberdade contratual.
This work serves the purpose of ascertaining the lawfulness of the golden parachute clauses in the Portuguese legal order. To respond to this matter, I started by defining these clauses according to the anglo-saxon legal system, whereas it was the one in which this matter firstly appeared, following the assessment of the Portuguese regime of companies (especially in what concerns companies organized by shares), concluding with the recognition that these clauses are admissible in our legal system, in the light of the private autonomy and the freedom of contract principles.
