A presente dissertação visa abordar a questão do impacto dos covenants no governo societário, passando pela problematização da ingerência de outsiders sobre as decisões que, tipicamente, cabem ao órgão de gestão. Terá especial enfoque nos contratos de mútuo, celebrados entre Bancos e sociedades comerciais, nos quais os covenants surgem frequentemente inseridos.
This dissertation aims to address the issue of the impact of covenants on corporate governance, by problematizing the interference of outsiders in decisions that typically fall to the management body. It will focus in particular on loan agreements between banks and commercial companies, in which covenants are often included.
