A presente investigação procurou sugerir diferentes mecanismos destinados a limitar os conflitos de interesses entre a sociedade e as partes relacionadas e, consequentemente, os negócios prejudiciais celebrados entre elas. Inicialmente, ocupámo-nos da definição de partes relacionadas e do confronto entre as vantagens e desvantagens que podem advir da celebração dos negócios em apreço. Nos capítulos subsequentes, visámos colmatar as insuficiências do sistema jurídico atual através da utilização de mecanismos de proteção preventivos (ex ante) e repressivos (ex post), tendo sempre em vista a tutela do interesse da sociedade.
The present investigation aimed to suggest different mechanisms to limit conflicts of interest between companies and related parties and the prejudicial transactions between them. Initially, we dealt with the definition of related parties and the comparison between the advantages and disadvantages that may arise from the conclusion of these transactions. In subsequent chapters, we sought to bridge the shortcomings of the current legal system by using preventive (ex ante) and repressive (ex post) protection mechanisms, whose goal is to protect the best interest of the company.
