Este trabalho aborda as vinculações pré-negociais. Nele consta a forma das partes se vincularem mesmo antes de terem celebrado um contrato. O senso comum diz-nos que só após a celebração do contrato é que as partes envolvidas estão vinculadas, isto é, têm direitos e deveres. Assim, o objetivo é compreender e analisar o âmbito pré-negocial, visando perceber de que modo as partes se podem proteger dos riscos que surgem durante as negociações como, por exemplo, uma rutura injustificada das mesmas com recurso a meios que não estão consagrados na lei. Simultaneamente, tentar saber se esses acordos vinculam as partes ou não e, ainda, se os mesmos não têm qualquer efeito, visto não ter consagração legal apesar de algumas normais do Código Civil lhes serem aplicadas. Trata-se de uma abordagem teórica, mas analisada na prática porque, apesar de tudo o que se tem defendido, é para a prática que estes acordos nos remetem. Aborda de forma mais específica as cartas de intenção uma vez que são das mais usadas no comércio internacional, assim, como por exemplo, os acordos associados a estas e que são os acordos de confidencialidade, de negociação exclusiva e de exclusão de oferta pública de aquisição hostil. Pretendeu-se aprender e dar a conhecer que não são só acordos digo, contratos, previstos na lei, que estão ao dispor das partes durante as negociações. Existem outros, com origem contratual, que servem para proteger as partes de uma negociação mesmo antes de existir a vinculação ao contrato final.
This paper addresses the precontractual linkages. It indicates the form of the parties to commit themselves even before they have entered into a contract. Common sense tells us that only after the conclusion of the agreement is that the parties are linked, ie they have rights and duties. The objective is to understand and analyze the precontractual framework, aiming to realize how the parties can protect from risks that arise during negotiations, such an unjustified disruption thereof with means which are not enshrined in law. At the same time, to find out whether these agreements are binding on the parties or not, and even if they have no effect, not being legal recognition despite some normal Civil Code they are applied. This is a theoretical but analyzed in practical approach because, despite all that has advocated, is to practice these agreements bring us. It addresses more specifically the letters of intent as they are the most used in international trade, thus, for example, the associated agreements to these and are confidentiality agreements, standstill agreements and non-hostile takeover agreement. We intended to learn and get to know that not only agreements say, contracts, required by law, which are available to the parties during the negotiations. There are others with contractual origin, used to protect parts of a negotiation even before there is a link to the final contract.
