O Conselho de Administração pode ser visto por diferentes perspectivas, principalmente
quando se trata de Governança Corporativa. Assim, as legislações americanas, inglesas
e brasileiras apresentam diferenças e similaridades que merecem destaque. Os principais
tópicos a serem analisados serão os mecanismos de defesa (takeover defenses); a
estrutura e composição dos Conselhos de Administração, os administradores
independentes e Transações entre Partes Relacionadas; remuneração dos membros do
Conselho de Administração. De forma a exemplificar os tópicos, três companhias foram
escolhidas, sendo elas a Coca-Cola Company, Diageo plc e Natura&Co.
The Board of Directors can be seen from different perspectives, especially when it comes to Corporate Governance. Thus, the American, British, and Brazilian legislations present differences and similarities that are worth highlighting. The main topics to be analyzed will be the takeover defenses; the structure and composition of the Boards of Directors, the independent directors, and Related-Party Transactions; remuneration of the members of the Board of Directors.
