A Responsabilidade Social das Empresas tem sido alvo de largos debates na
sociedade civil, assim como, no âmbito jurídico. Encontramos, cada vez mais, os stakeholders atentos a este tema, forçando as empresas adaptarem-se a uma realidade em que o consumidor e os stakeholders preocupam-se com o impacto social, económico e ambiental das decisões do negócio. Esta dissertação procura demonstrar a importância de uma resposta empresarial associada à responsabilidade Social, assim como, a resposta jurídica as estas inquietações,
através dos movimentos de Corporate Social Responsability, ESG e do ramo do Direito Coporate Governance. Como ponto de partida, debruçamo-nos sobre os dois principais conceitos desta dissertação, Corporate Social Responsability e Corporate Governance, numa perspetiva histórica da formação dos mesmos, assim como da sua demonstração no quotidiano das empresas. Posteriormente demonstramos empiricamente como os dois conceitos convergem e a importância que os índices ESG detêm, nomeadamente na Pandemia Covid19, no Conflito Rússia-Ucrânia e na economia emergente dos Criptoactivos. Esta dissertação termina com a análise dos ordenamentos jurídicos Britânico e Português e o papel do Direito nesta temática.
Corporate Social Responsibility has been the subject of much debate in civil society, as well as in the legal field. We find that stakeholders are increasingly attentive to this issue, forcing companies to adapt to a reality in which the consumer and stakeholders are concerned with the social, economic and environmental impact of business decisions. This dissertation seeks to demonstrate the importance of a corporate response associated with Social Responsibility, as well as, the legal response to these concerns, through the movements of Corporate Social Responsibility, ESG and the branch of Coporate Governance Law. As a starting point, we focus on the two main concepts of this dissertation, Corporate Social Responsibility and Corporate Governance, from a historical perspective of their formation, as well as their demonstration in the daily life of companies. Subsequently, we empirically demonstrate how the two concepts converge and the importance of ESG indices, namely in the Covid-19 Pandemic, the Russia-Ukraine Conflict and the emerging cryptoactive economy. This dissertation ends with the analysis of the British and Portuguese legal systems and the role of law in this issue.
