Abstract(s)
A presente tese de mestrado versa sobre a análise do Regulamento (UE) 2017/1129, de 14 de junho de 2017, sobre prospetos.
A partir desta análise, identificámos as alterações mais importantes e as novas figuras jurídicas trazidas por este regulamento. Através da sua observação conseguimos antever o impacto que estas terão no nosso Código dos Valores Mobiliários e por fim, perceber de que modo poderão influenciar o regime jurídico português da responsabilidade civil pelo conteúdo do prospeto.
A análise do regime da responsabilidade civil pelo conteúdo do prospeto será feita, apenas, numa ótica de aplicação às ofertas públicas de subscrição.
This master thesis is about the analysis of the new European Prospectus Regulation. From this analysis, we identified the new legal figures and the most important changes brought about by the new prospectus regulation. Through the identification of these changes, we were able to observe the impact they will have on our code of securities and we were also able to understand how these changes may influence the Portuguese legal regime of civil liability as far as the content of the prospectus is concerned. The civil liability analysis of the prospectus’ content will only take into account the perspective of application to public subscription offers.
