A presente dissertação de mestrado tem por objecto a análise de uma das
concretizações do dever de lealdade – o dever de o administrador não se apropriar, para si ou
para terceiros, de oportunidades de negócio societárias.
Numa situação de potencial conflito de interesses entre o administrador e a sociedade,
o aproveitamento de uma tal oportunidade por parte do primeiro fez nascer a figura do
respectivo desvio, em detrimento da segunda.
Mas o que devemos entender como uma oportunidade de negócio societária? Quais os
contornos do dever?
A doutrina das oportunidades societárias tem sido apresentada, tanto pela doutrina
como pela jurisprudência, como uma das áreas mais imprecisas e cinzentas do direito
societário. Partindo deste pressuposto, é nossa intenção contribuir para clarificar esta névoa
através da experiência e contributos do direito comparado, para, consequentemente,
responder a tais questões e verificar em que termos o dever é reconhecido no ordenamento
jurídico português.
This dissertation aims to analyze one of the embodiments of the duty of loyalty – the director's duty of not seizing for himself or others, corporate business opportunities. Facing a conflict of interest between the director and the company, the prosecution of a corporate opportunity by the former allows the appearance of a business opportunity deviation figure. But what should we consider as a business opportunity? The complexity of this subject starts from this pivotal question. In this context, the doctrine of corporate opportunities has been presented, both by the Doctrine as well as the Jurisprudence, as one of the most imprecise and gray areas of corporate law. Based on this assumption, it is our goal to clear this fog through the experience and the contributions of comparative law in order to answer the previous question of which business opportunities should be considered corporate and to state in what terms the duty is properly recognized in the Portuguese legal system.
