Com o intuito de se manterem competitivas, algumas empresas optam por reorganizar a sua estrutura societária e, consequentemente, empresarial com vista a criação de sinergia. O presente estudo pretende demonstrar que a combinação de atividades, negócios ou empresas, quando exploradas ou geridas de forma conjunta, pode apresentar um valor superior ao da soma de cada uma delas quando consideradas a operar separadamente.
Além disso, a eficiência também pode ser alcançada de forma indireta, por meio de aquisições de participações sociais que permitem às sociedades adquirentes obterem o controlo sobre outras sociedades, alterando a estratégia empresarial destas e contribuindo, desta forma, para a criação de valor das empresas intervenientes.
In order to remain competitive, some companies choose to reorganize their corporate and business structure with a view to creating synergy. The present study intends to demonstrate that the combination of activities, businesses or companies, when explored or managed jointly, presents a higher value than the sum of each of them when considered separately. In addition, efficiency is also achieved indirectly, through the acquisition of shareholdings that allow acquiring companies to gain control over other companies, changing their business strategy and adding value to the acquiring companies.
