Os problemas associados ao controlo acionista já não são uma novidade, no entanto,
continuam a estar muito atuais tendo em conta a evolução das estruturas empresariais,
consequência do impacto da globalização.
Neste trabalho vamos analisar os mecanismos legais de combate aos problemas
relacionados com os acionistas controladores tentando demonstrar quais as principais
insuficiências do mesmo e oferecendo algumas sugestões de eventuais soluções a esses
problemas.
Faremos um pequeno enquadramento definindo quem são os acionistas, o que é o controlo
e quais são os riscos que derivam da presença dos mesmos.
The problems associated with shareholder control are no longer a novelty, however, they continue to be very current tanking into account the evolution of corporate structures, as a consequence of the impact of globalisation. In this paper we will analyse the legal mechanisms for combating the problems related with controlling shareholders to demonstrate their main shortcomings and offer some suggestions for possible solutions to these problems. We will do a short framing defining who are the shareholders, what is the control and what are the risks that derive from their presence.
