O presente estudo versa sobre o dever de lealdade dos administradores das sociedades comerciais, com especial enfoque numa das suas concretizações, o dever de não aproveitamento de oportunidades de negócio societárias. Proceder-se-á a uma análise detalhada de outros ordenamentos jurídicos, que, a par da doutrina e jurisprudência nacionais, sustentarão as sugestões dirigidas ao legislador português, com vista a suprir a lacuna legislativa, através da previsão de um regime completo e coerente sobre esta matéria. Adicionalmente, serão consideradas as novas tecnologias como potenciais ferramentas de suporte à aferição das oportunidades de negócio enquanto pertencentes, ou não, à sociedade.
This study addresses the duty of loyalty of the directors of commercial companies, with a special focus on one of its aspects, the duty not to take advantage of corporate business opportunities. A detailed analysis of other legal systems will be carried out, which, together with national doctrine and jurisprudence, will support the suggestions addressed to the Portuguese legislator, with a view to filling the legislative gap by providing a complete and coherent regime on this matter. In addition, new technologies will be considered as potential tools to support the assessment of business opportunities as belonging, or not, to society.
