Esta tese explora a integração dos fatores ESG na governação societária, centrando-se na remuneração variável dos administradores. É composta por três capítulos: análise da remuneração variável como um instrumento crucial de governação que alinha interesses, exame da origem e integração de fatores ESG na remuneração dos administradores e defesa do seu desenvolvimento positivo e natural. A integração de métricas ESG incentiva o valor a longo prazo e a sustentabilidade. Em suma, a integração de ESG não causa inerentemente problemas de agência, aliás, até poderá mitigar problemas de agência.
This thesis explores the integration of ESG criteria into corporate governance, focussing on directors' variable remuneration. It consists of three chapters: analysing variable pay as a crucial governance tool that aligns interests, examining the origin and integration of ESG factors in directors' remuneration, and advocating for its positive and natural development. Integrating ESG metrics incentivises long-term value and sustainability. In short, ESG integration does not inherently cause agency problems, indeed it may even mitigate agency problems.
