O presente trabalho tem como objeto responder à seguinte questão: “Se a empresa não tiver as qualidades esperadas pelo comprador, que direitos lhe assistem?”. Para tanto, será analisada a extensão e limites dos deveres de informação do vendedor e dos ónus do comprador, tendo presente os remédios consagrados na lei e as cláusulas contratuais que as partes tipicamente consagram (ou deveriam consagrar) num contrato de transmissão de participações sociais, tendo em vista a distribuição do risco. Por fim, será realizada uma breve menção à relevância da due dilligence nos processos de transmissão de empresas, conferindo especial relevância ao contributo crescente da Inteligência Artificial neste âmbito.
This paper aims to address the following question: “If the company does not possess the qualities expected by the buyer, what rights does the buyer have?”. To this end, the scope and limits of the seller’s duty to inform and the buyer’s burdens will be analysed, considering the remedies provided by law and the contractual clauses typically agreed upon (or that should be agreed upon) in a share transfer agreement, with a view to risk allocation. Finally, a brief mention will be made regarding the relevance of due diligence in M&A processes, with particular emphasis on the increasing contribution of Artificial Intelligence in this area.
