This dissertation looks into the legal regime applicable to deferred cash contributions within the Portuguese legal system. While these contributions differ from immediate cash contributions, they are ultimately governed by a similar legal framework. Given the key role of share capital in corporate finance and market trust, this study examines if deferring contribution obligations could undermine these functions. It also assesses the appropriateness of applying the full legal regime of cash contributions to deferred contributions, including their classification as a credit of the company against its shareholders and the necessary mechanisms for such recognition.
