Abstract(s)
O presente estudo pretende compreender se, no ordenamento jurídico português, é possível responsabilizar os administradores de uma sociedade por decisões que prejudiquem as várias partes interessadas. A discussão da Responsabilidade Social Empresarial tem sido amplificada desde os anos 50 do século XX até agora, devido à sua importância na construção e manutenção da relação entre a empresa e, por exemplo, clientes, investidores ou trabalhadores. Verificase, a este propósito, que cada vez mais, se exige à empresa a adoção de medidas de carácter social. Todavia, importa perceber se o ordenamento jurídico português, mormente por meio da Constituição da República Portuguesa e do Código das Sociedades Comerciais, possibilita a responsabilização dos administradores por medidas prejudicais para as partes essenciais para a sustentabilidade da empresa.
The present study aims to understand if, in the Portuguese legal system, it is possible to hold the directors of a company accountable for decisions that harm the various stakeholders. The discussion of Corporate Social Responsibility has been amplified since the 50's of the 20th Century until now, due to its importance in the construction and maintenance of relations between a company and, for example, clients, investors or employees. In this regard, it is noted that companies are increasingly being required to adopt social measures. However, it is important to understand whether the Portuguese legal system, mainly through the Portuguese Constitution and the Commercial Companies Code, enables the liability of directors for measures that are harmful to the stakeholders that are essential for the sustainability of the company.
