| dc.description.abstract | A presente dissertação visa analisar a oportunidade da revisão ao Cód.VM operada pela Lei n.º 99-A/2021, de 31 de dezembro, no âmbito das Ofertas Públicas de Aquisição obrigatórias. Neste contexto, assume-se, como objetivo último descortinar as soluções e inovações constantes do novo normativo, decorrendo daqui a pertinência de uma análise atenta e comparativa que nos permita de forma crítica comentar as alterações introduzidas pela nova lei e ainda, de maneira fundamentada, refletir sobre as figuras e institutos com que nos iremos deparar. Paralelamente, procedendo a uma apreciação sobre o regime da Aquisição Tendente ao Domínio Total, iremos examinar o impacto das alterações decorrentes da Lei nº. 99- A/2021 sobre a figura da aquisição potestativa. | pt_PT |
| dc.description.abstract | The present dissertation aims to analyse the opportunity of the revision of the Securities Code operated by Law n.º 99-A/2021, of December 31, in the scope of mandatory Takeover Bids. In this context, the ultimate objective of this dissertation is to unveil the solutions and innovations contained in the new legislation, hence the relevance of a careful and comparative analysis which will allow us to critically comment on the changes introduced by the new law and, in a reasoned manner, to reflect on the figures and institutes which we will encounter. In parallel, proceeding with an appraisal of the regime of Acquisition Tending to Total Domain, we will examine the impact of the alterations arising from Law 99-A/2021 on the figure of compulsory acquisition. | pt_PT |
