Os acordos parassociais são hoje uma tendência à escala global de crescente importância, permitindo aos sócios personalizar as relações entre si estabelecidas e, simultaneamente, complementar os estatutos sociais. A presente dissertação versa sobre aquela que poderá ser a maior fragilidade dos acordos parassociais: o seu incumprimento. Pretende-se, essencialmente, identificar e analisar os mecanismos que poderão dissuadir os sócios do incumprimento dos acordos parassociais e, ao mesmo tempo, analisar as possíveis formas de reação, tendo sempre presente que o tribunal será, por certo, a última via de recurso para reagir à sua violação.
Shareholder’s agreements are today an increasingly important trend on a global scale, allowing shareholders to customize the relationships between them and, at the same time, complement the articles of association. This dissertation focuses on what may be considered as the biggest weakness of shareholders’ agreements: their breach. The aim is to identify and analyse the mechanisms that may dissuade shareholders from breaching shareholders’ agreements and, at the same time, analyse the possible ways of reaction, always bearing in mind that the court will certainly be the final option to react to their violation.
