Abstract(s)
A realização desta dissertação que tem por base o tema geral das holding e como seu sub tema algumas questões relacionadas com os grupos de sociedades, surge da constatação de que na realidade empresarial a criação deste tipo de sociedade é prática comum. A recondução deste tipo geral, seja qual for a sua finalidade, aos grupos de sociedades apresenta consequências inevitáveis que devem ser tidas em conta na aplicação deste regime. São algumas dessas consequências que se pretende aqui abordar. As SGPS como modelos típicos das sociedades holding no ordenamento jurídico português não esgotam as finalidades e utilizações das holding. Propomo-nos assim fundamentalmente demonstrar que o regime dos grupos previsto no Código das Sociedades Comerciais apresenta-se inteiramente capaz de regular as holding. Não obstante, o próprio regime apresenta ainda algumas questões que merecem reflexão de modo a torna-lo mais claro.
The completion of this dissertation, which envisages the general theme of the holding companies and has as its sub-theme some questions related to the groups of companies regime, arises from the observation that in the business reality the creation of this type of company is a common practice. The application of the groups regime to this type of companies presents inevitable consequences that must be taken into account. We intend to address here some of those consequences. SGPS are the typical models of holding companies in the Portuguese legal system, but this type of companies does not exhaust the purposes and uses of holding companies We therefore propose fundamentally to demonstrate that the group regime provided for in the Código das Sociedades Comerciais is fully capable of regulating this a holding company. Nevertheless, the regime itself still presents some questions that deserve reflection in order to render it clearer.
