O papel do D&O insurance e do reembolso societário : impacto na responsabilidade dos administradores no contexto jurídico português

A presente dissertação, realizada no âmbito do Mestrado em Direito e Gestão, tem como objetivo primordial a análise do papel do D&O Insurance e do Reembolso Societário e da forma como estes mecanismos têm impacto na responsabilização dos administradores e fiscalizadores no contexto jurídico português. Para tal, começamos por proceder a uma sucinta caracterização do D&O Insurance e respetiva contextualização histórica, desde a génese à internacionalização deste produto segurador. Concluída esta fase preambular, mas necessária, o foco é especificamente orientado para a análise da coadunação do D&O enquanto produto segurador internacional dotado de uma tipicidade social com a realidade jurídica portuguesa, tomando por pressuposto também os riscos a que os administradores estão sujeitos, de acordo com o regime de responsabilidade jurídico-societária. Por fim, é feita uma breve excursão pelas coberturas e exclusões típicas. De seguida, é abordada a questão do reembolso societário, desde a sua licitude e limitações à sua fundamentação legal. Posteriormente, é explicada a delimitação do âmbito temporal das coberturas, de forma a apresentar as cláusulas claims made como uma resposta para o problema da latência prolongada, tipicamente sentida no D&O, sendo ainda explorada a licitude das referidas cláusulas em Portugal, assim como as soluções para os “gaps in cover” suscitados pelas claims made. Para terminar, é desenvolvido, em particular, o tema da proteção dos membros do órgão de fiscalização pelo seguro de responsabilidade civil, tendo em consideração a obrigatoriedade do seguro de responsabilidade civil dos revisores oficiais de contas, assim como o seguro substitutivo da caução do art. 396.º, n.º 2 do CSC.
The following dissertation made in order to obtain the master’s degree in Law and Management, has as primordial objective the analyzation of the role of D&O Insurance and corporate reimbursement and the way in which these mechanisms impact the liability of directors and officers in the Portuguese legal context. For such purpose, we shall start by conducting a succinct characterization of the D&O Insurance and its respective historical contextualization, since the genesis to the internationalization of this insurance product. Completed this prefatory but necessary phase, the focus should be specifically orientated for the analysis of the coordination of the D&O as an international insurance product endowed with a social typicality, with the Portuguese legal reality, also taking for assumption the risks to which the directors are subjected, according to the corporate law liability regime. Finally, it is made a brief excursion by the typical coverages and exclusions. Then, it is approached the question of the corporate reimbursement, since its lawfulness and limitations to its legal reasoning. Posteriorly, it is explained the delimitation of the temporal scope of coverages, in order to present the claims made clauses as a response to the prolonged latency problem, typically sensed in D&O, still being explored the lawfulness of the referred clauses in Portugal, as well as the solutions to the gaps in cover raised by claims made. To finish, it is developed, in particular, the theme of the protection of the officers by the liability insurance, taking into account the mandatory of the official auditors’ liability insurance, as well as the insurance substitutive deposit from the article 396.º, n. º 2 of CSC.
